1. Acceptance of Terms
By accessing or using FEED, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform. FEED is a service provided by Automate America, Inc., a South Carolina S-Corporation.
2. Description of Service
FEED is a global professional marketplace connecting industrial automation contractors, PLC programmers, robotics engineers, and employers in the manufacturing sector. Available at feed.automateamerica.com, the platform facilitates professional networking and contract opportunities worldwide.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account.
4. User Conduct
You agree not to:
- Provide false or misleading information
- Harass or abuse other users
- Violate any applicable laws or regulations
- Attempt to gain unauthorized access to our systems
5. Payment Terms
FEED operates as a marketplace platform. Payment terms vary by contract type:
- White Glove Contracts: Automate America facilitates payment processing and charges a 20% service fee on all invoiced amounts
- Standard Contracts: Payment is handled directly between customer and professional with a 20% platform fee
- Direct Jobs: Placement fees as specified in the job posting
Invoices are due per the payment terms specified in each contract (default: Net 30). Late payments may incur interest at 1.5% per month.
6. Intellectual Property
Platform IP: Automate America retains all rights to the FEED platform, including its technology, design, branding, and source code. Users receive no rights except the limited access granted herein.
User Content: Users retain all rights to their own intellectual property, including profile information, job postings, and business content.
Work Product: Ownership of work product created by professionals is determined by the contract between customer and professional. Automate America makes no claims to work product.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Automate America's total liability shall not exceed one hundred dollars ($100)
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for loss of profits, revenue, or data
- We are not liable for acts or omissions of professionals or customers
- We are not liable for worker classification claims or employment-related disputes
FEED operates as a marketplace technology platform. Customers and professionals are responsible for their own compliance with applicable laws.
8. Service Limitations
FEED makes no guarantees about the availability or reliability of the platform. The service is provided "as is" without warranties of any kind, either express or implied. Service may be modified, suspended, or discontinued at any time without prior notice. We are not liable for any interruption of service or loss of data.
9. Dispute Resolution
Any disputes arising from or relating to these Terms of Service or your use of FEED shall be resolved through binding arbitration in Greenville County, South Carolina. By using this platform, you waive any right to a jury trial in connection with any dispute arising under these terms. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association.
10. Termination
Either party may terminate this agreement at any time for any reason. You may close your account by contacting support@automateamerica.com. FEED reserves the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or harm other users. Upon termination, your right to use the platform ceases immediately, though certain provisions of these terms will survive termination.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, United States of America, without regard to its conflict of law provisions. Any legal action arising out of these terms shall be brought exclusively in the state or federal courts located in South Carolina.
